Visio Acceptable Use Policy (AUP)

Version 1.0 Effective June 2026

This AUP is incorporated by reference into the Agreement (Order Form + General Terms). It defines how the Platform may and may not be used. A breach of this AUP is a material breach and may lead to suspension or termination under General Terms 11.4. Provider: VISIO SERVIÇOS DE TECNOLOGIA LTDA.

1. Purpose

This Policy sets the rules for using the Visio Platform, Tools, and workflows. It applies to the Customer and all of its users.

2. Prohibited Use

The Customer and its users will not:

2.1 Use the Platform unlawfully, or to process content that is unlawful, infringing, or harmful.

2.2 Resell, sublicense, rent, distribute, or make the Platform available to third parties outside the Contracted Scope.

2.3 Reverse engineer, decompile, or attempt to derive the source code, models, or infrastructure of the Platform.

2.4 Circumvent or disable security, access controls, rate limits, or usage metering.

2.5 Exceed the Contracted Scope, or share credentials to give unauthorized parties access.

2.6 Upload malicious code or interfere with the integrity or performance of the Platform.

3. Non-Use and No-Clone Covenant

3.1 The Customer will not use its access to the Platform, or any Visio Confidential Information, to design, build, train, or assist a competing product or service, directly or through a third party.

3.2 This obligation survives for thirty-six (36) months after the end of the Agreement.

3.3 Anti-circumvention: the Customer will not bypass Visio to replicate the Platform’s methodology, tools, or workflows. If the Customer develops a similar product, the burden is on the Customer to show, by clean-room evidence, that it did so without Visio Confidential Information.

4. Responsible Use of AI

4.1 AI/ML Outputs are assistive and require human review. The Customer will not use an Output as the sole basis for a legal, financial, employment, or other significant decision without human oversight.

4.2 The Platform is not a surveillance system and its Outputs are not forensic evidence. The Customer will not represent them as such.

4.3 The Customer is responsible for having a lawful basis for the data it submits, including any sensitive data (see the DPA, Section 7).

5. Enforcement

5.1 Visio may suspend or restrict access to address a present or ongoing breach of this Policy, with notice where practicable, and may terminate for material breach under General Terms 11.4.

6. Changes

6.1 Visio may update this Policy by publishing a new version, with notice of material changes, under the same versioning rules as the General Terms.
